ASSET SCOUTING

We provide ongoing scouting support to generate a flow of new opportunities, (i) using of our extensive networking within pharmaceuticals and healthcare industry and licensing professionals, (ii) scanning emerging opportunities and (iii) contacting specific companies that fit client’s criteria to ascertain their interest in a partnership.

DUE DILIGENCE

We work with our clients to define the aim and depth of the assessment, the timelines and required support and expertise. We can undertake all the support of the due diligence, including technical and scientific, regulatory, IP, and commercial expertise.

VALUATION

Product valuation is a prerequisite of licensing negotiations and understanding possible deal structure scenarios, specifically the financial impact of upfront/milestone payments and royalties. To develop a realistic and effective valuation, we work closely with our clients to develop a detailed understanding on each variable and assumption and base them on real life evidence and data. The depth of our valuation work varies from a high-level estimations, through to a comprehensive analysis, including:

  • Technology and market assessment.

  • A scenario analysis including various possible deal structures.

  • Assessment of IP and other barriers to entry.

  • Commercial potential and market penetration.

  • Proforma P&L.

  • Risk adjusted net present value (rNPV).

DEAL MAKING

Deal-making is a path of crafting deals through negotiations focused on value-creating process. This includes a range of activities that seek to bring parties together toward some common end. We devote our support on each step of the negotiation process and related activities:

  • Work with our clients to define the partnering strategy, and to agree on goals.

  • Perform a comprehensive search for prioritization of prospective partners.

  • Develop specific tactics approach each prospective partner, based on our relationships and knowledge of the company.

  • Facilitate access to confidential data, through an execution of CDA between parties.

  • Facilitate and coordinate the communication between prospective partners and our clients.

  • Support or lead the negotiations of non-binding term sheets.

  • Coordinate or lead the final negotiations and deal completion.
